1. Agreement to Terms

Sourcenow provides a B2B procurement platform that connects businesses in the UAE with verified partners and vendors for:

• SaaS and cloud software procurement
• Digital marketing services
• Digital and AI transformation services
• Web, app, and e-commerce development
• Hardware and IT equipment procurement
• Tender management and vendor bidding

3. User Accounts

3.1 Account Registration: To access certain features of our platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Business Verification: We may require verification of your business identity and documentation (trade license, registration certificates) before granting full access to our services. You agree to provide accurate documentation and understand that providing false information may result in account termination.

4. Use of Services

4.1 Permitted Use: You may use our platform solely for legitimate business procurement purposes in accordance with these Terms and applicable laws.

4.2 Prohibited Activities: You agree NOT to:

• Use the platform for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Submit false, misleading, or fraudulent requests or information
• Interfere with or disrupt the platform's security or functionality
• Attempt to gain unauthorized access to any part of the platform
• Use automated systems (bots, scrapers) without our written consent
• Transmit viruses, malware, or other harmful code
• Harass, abuse, or harm other users or partners
• Circumvent any platform fees or payment obligations

5. Procurement Process

5.1 Requests and Quotes: When you submit a procurement request through our platform:

• We will match your request with verified partners
• Partners may submit quotes for your consideration
• You are not obligated to accept any quote
• Quote acceptance creates a binding agreement between you and the partner

5.2 Orders and Payments: Upon accepting a quote or placing an order:

• You agree to pay the quoted price plus any applicable fees
• Payment terms will be specified in the quote or order confirmation
• Sourcenow may facilitate payments but is not responsible for partner delivery
• Disputes should first be raised with the partner, then escalated to Sourcenow if unresolved

6. Partner Relationships

Sourcenow acts as a marketplace connecting businesses with partners. We verify partner credentials and documentation, facilitate communication and transactions, and provide dispute resolution assistance.

However, we are NOT responsible for:

• The quality, safety, or legality of partner services
• Partner's ability to complete services as quoted
• The accuracy of partner information or representations
• Any disputes between you and partners

7. Fees and Payment

Sourcenow may charge fees for certain services, including platform service fees on transactions, premium subscription features, and tender posting fees. All fees will be clearly disclosed before you incur them. Fees are non-refundable unless otherwise stated.

8. Intellectual Property

The Sourcenow platform, including its design, features, content, and trademarks, is owned by Sourcenow and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our platform or content
• Use our trademarks without written permission
• Reverse engineer or attempt to extract source code
• Create derivative works based on our platform

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Accuracy or reliability of any information

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DABTI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sourcenow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent or illegal activity, non-payment of fees, extended inactivity, or any other reason at our sole discretion.

You may terminate your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or your use of the platform shall be resolved through:

• Good faith negotiation between the parties
• Mediation in Dubai, UAE
• Binding arbitration in Dubai, UAE if mediation fails

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the platform after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
